Transfer SE Company to Spain

How to start a Spanish limited company. Incorporation or formation of a company in Spain.

 

 

There are several things that need to be done in the country of incorporation:

  • you need to do a minute with a notary in the country of origin (of the company), in the name of the shareholders, to transfer the company
  • this needs to be lodged with the Registry in the country
  • a notarial copy has to be apostilled and sent to us.
  • you need to get accounts drawn up, and lodged with the authorities of the country which you are leaving

There are then several items needed in Spain

  • we need to get an authorised translation of resolution to transfer the company to Spain
  • we need to get an authorised translation of the accounts
  • we need to get an authorised translation of the company statutes in the country of origin. 
  • then we need to write new statutes for Spain
  • these need to be signed by representatives of the company, with a Spanish notary
  • the balance of the company.

A number of items need then to be lodged with the registry in Spain
