Shares. The share capital must be issued, the minumum ammount is € 60.000. At least 25% of nominal value of shares must be paid.

One shareholder is required to set up a Public Company. There is no limit to the number of shareholders.

The board of shareholders is the most important body in the directing and managing of a S.A., it has the power to appoint and dismiss directors of the company. The company can be quoted on the Stock Market.

  • Certificate from Mercantile Registry comfirming name availability
  • Granting of a power of attorney for the incorporation
  • Agreement to incorporate a company by the shareholders (Acuerdo de Voluntades)
  • Obtain a VAT Number (Código de Identificación Fiscal - CIF)
  • Open a Bank Account
  • Appointment of directors
  • Drafting of the Company Deed
  • Public Deed of Company Incorporation before a notary
